Executive Advisory Summary & Quick Answer

Every Limited Liability Partnership (LLP) registered in India must file two mandatory annual forms with the MCA: Form 11 (Annual Return) due on or before 30 May (within 60 days of financial year end), and Form 8 (Statement of Account & Solvency) due on or before 30 October (within 30 days of the end of 6 months of the financial year). Statutory audit of LLP accounts by a Chartered Accountant is mandatory only if annual turnover exceeds ₹40 Lakhs or total partner capital contribution exceeds ₹25 Lakhs. Failure to file attracts ₹100 per day late fees.

Demystifying LLP Annual Compliance: Form 11 & Form 8

The Limited Liability Partnership (LLP) structure combines the operational flexibility of a partnership with the corporate shield of limited liability. While LLPs enjoy reduced administrative burdens compared to Private Limited companies—such as no mandatory quarterly board meetings or complex secretarial registers—they are governed by rigorous annual electronic filing requirements under the Limited Liability Partnership Act, 2008.

Every LLP registered with the Ministry of Corporate Affairs (MCA) must file two core annual forms: Form 11 and Form 8.

2. LLP Audit Thresholds Explained

Under Rule 24(8) of the LLP Rules, 2009, an LLP's accounts must be audited by a Chartered Accountant in practice only if:

  • The annual turnover of the LLP exceeds ₹40 Lakhs; OR
  • The total capital contribution of partners exceeds ₹25 Lakhs.

If an LLP does not cross either threshold, it is exempt from mandatory statutory audit. In such cases, the Designated Partners must provide a signed declaration in Part B of Form 8 acknowledging their responsibility for preparing true and fair financial accounts.

3. What is Declared in Form 8: Statement of Solvency?

Form 8 is divided into two distinct components:

  1. Statement of Account (Part A): Discloses the Balance Sheet (contributions, reserves, secured/unsecured loans, fixed assets, trade receivables, cash) and the Statement of Income & Expenditure (turnover, direct costs, administrative expenses, net profit).
  2. Statement of Solvency (Part B): A solemn legal declaration signed by the Designated Partners certifying that:
  • They have made a full inquiry into the affairs of the LLP;
  • In their opinion, the LLP is capable of paying its debts as they become due in the normal course of business;
  • The LLP has not suffered catastrophic impairment jeopardizing its ongoing viability.

Making a false or reckless statement of solvency is a serious statutory offence under Section 34(5) of the LLP Act.

4. Step-by-Step Workflow for Filing on MCA V3

Filing on the MCA V3 portal requires the following operational steps:

  1. Designated Partner KYC: Ensure DIN/DPIN status is "Approved" and annual DIR-3 KYC is completed before attempting filing.
  2. DSC Registration: Both Designated Partners and the certifying professional must register their Class-3 DSC on the MCA V3 portal.
  3. Data Entry in Web-Form: Fill in contribution details, partner residency status, and financial statement lines.
  4. Document Attachments: Attach MSME Form I details (if outstanding to micro/small vendors), contingent liability notes, and auditor report.
  5. Fee Payment & SRN Tracking: Pay MCA statutory filing fees and download the stamped Service Request Number (SRN) receipt for corporate records.
